Overview

Our Corporate & General Business Practice represents both privately held as well as publicly held corporations and business entities and includes a diverse local, national and international client base. We provide full service representation in the corporate, business, real estate, tax and financing practice areas. Our group is comprised of over 20 lawyers, with representatives in each of our firm's offices.

Corporate & General Business

Our firm has extensive experience in entity selection and formation, mergers and acquisitions, succession planning (buy-sell agreements) and divestitures, leveraged buyouts, contract negotiation, shareholder agreements, and representation regarding personnel, labor and employment law issues. We regularly serve in the role as general counsel for our closely held business clients. Our practice also includes dealing with corporate governance issues, entity planning and income tax planning for our business clients. The group also provides services in the area of debtor-creditor matters and forbearance agreements and bank work-outs. We work closely with our Firm's Commercial Litigation Group and the Employment and Labor Law Group in providing dispute resolution services for our business clients, which includes mediation and arbitration services, as well as representation in trial courts at all levels. We also work closely with our Firm's Estate Planning Group in providing succession planning, income tax planning and estate tax planning for our closely held business clients.

Real Estate Law

Our Firm's real estate practice involves the representation of buyers, sellers, national retailers, shopping center developers, industrial and commercial developers, realtors, and title insurance agencies and companies. We have extensive experience in representing clients involved in the acquisition and sale of commercial real estate, development of commercial real estate, leasing, and obtaining financing for, the acquisition and development of real estate. Our practice also includes the representation of clients in zoning and land use issues and the conduct of litigation of disputes involving real estate issues.

Our clients' broad based industry representation includes: manufacturing, national retailers, transportation, health care, medical equipment, insurance brokers and agents, construction, hotels and hospitality, horticulture and farming, liquor establishments and restaurants, professional services and real estate developers. Representative clients include the Catholic Diocese of Cleveland, Natural Stone Institute, NetShape Technologies, and Norwalk Custom Order Furniture.
